English: Declarations of Intention
Mental reservation: void even with mere negligence
A joke-declaration is valid in principle, but void if the other party knew OR could have known (negligence) it wasn't meant.
Sham declaration: good faith alone protects the third party
Voidness of a collusive sham cannot be asserted against a third party in good faith — no need for them to be free of negligence.
Mistake leads to rescission, not voidness
Under the revised Civil Code the effect of mistake is 'rescindable'. If a choice says 'void', it's wrong.
Mistake + gross negligence: two escape routes
A grossly negligent party normally can't rescind — except when the other party knew/was grossly negligent, or shared the same mistake.
Fraud vs duress: third-party protection differs
Fraud rescission can't touch a third party in good faith without negligence; duress rescission beats even them (the victim is blameless).
Fraud or duress by an outsider
Third-party fraud: rescindable only if the counterparty knew or could have known. Third-party duress: always rescindable.
Third parties AFTER rescission = registration race
Art. 96(3) protects only pre-rescission third parties; post-rescission ones compete by who registers first.
